| In these conditions of sale the expression "the seller" shall mean œcos. The expression "the buyer" shall mean any customer of the seller. | ||||||||||||||
| The expression "the goods" shall mean products manufactured or sold by the seller. | ||||||||||||||
| Risk | ||||||||||||||
| The buyer acknowledges that before entering into an agreement for the purchase of any goods from the seller he has expressly represented and | ||||||||||||||
| warranted that he is not insolvent and has not committed any act of bankruptcy, or being a buyer with limited or unlimited liability know of no | ||||||||||||||
| circumstances which would entitle any debenture holder or unsecured creditor to appoint a receiver or to petition for the winding up of such a | ||||||||||||||
| seller or exercise any other rights over or against such sellers assets. | ||||||||||||||
| Ownership of Goods | ||||||||||||||
| All goods sold by the seller shall remain the property of the seller, which will retain full legal title to all goods, until such time as the buyer shall | ||||||||||||||
| have paid the seller the full price of such goods, together with the full price of any other goods purchased by the buyer from the seller. The | ||||||||||||||
| risk therein and all liability to third parties in respect thereof shall pass to the buyer on delivery. | ||||||||||||||
| Prices | ||||||||||||||
| The seller has the right to alter prices at any time without prior notice to the buyer. | ||||||||||||||
| Prices shown on this list are ex-works, and do not include any taxes, carriage or packing charges. Note: carriage and packing charges are | ||||||||||||||
| priced at cost. | ||||||||||||||
| Payment | ||||||||||||||
| The full price of the goods including taxes, carriage and packing as invoiced shall be due and payable to the seller without deduction not later | ||||||||||||||
| than the last day of the month following the month of the invoice date. | ||||||||||||||
| Claims | ||||||||||||||
| No claims on account of shortage or errors will be considered unless reported to the seller within 3 working days after receipt of delivery and | ||||||||||||||
| confirmed in writing within 7 days of receipt of delivery. | ||||||||||||||
| Notice | ||||||||||||||
| œcos makes no warranty, express or implied, for any purpose concerning these products, other than those which are contained in the product | ||||||||||||||
| instructions. | ||||||||||||||
| This contract shall be constructed in accordance with the Law of England and any disputes, differences or matters arising in connection with this | ||||||||||||||
| contract shall be determined by the courts of England. | ||||||||||||||
